By accessing or using this website, requesting or authorizing services, approving work, submitting payment, creating an account, or receiving or continuing to use services provided by Incend Media, you acknowledge that you have read, understood, and agreed to these Terms.
If you are accepting these Terms on behalf of a business, organization, or other legal entity, you represent that you have the authority to bind that entity.
If you do not agree to these Terms, you should not use this website or request, authorize, receive, or continue using our services.
APPLICATION OF THESE TERMS
These Terms apply to Incend Media’s website and to products and services provided through written agreements, proposals, statements of work, order forms, invoices, email authorizations, support requests, verbal authorizations, established business relationships, or other arrangements.
A client may also be subject to a separate proposal, service agreement, statement of work, order form, hosting agreement, or other written agreement. If a specific written agreement conflicts with these Terms, the specific written agreement will control to the extent of that conflict. All provisions that do not conflict will continue to apply.

The availability, scope, pricing, schedule, and deliverables associated with a service may be established through a proposal, agreement, invoice, email, support request, project authorization, or other communication between Incend Media and the client.
Information provided on this website is for general informational purposes and may be modified, updated, or removed at any time without notice.
CLIENT AUTHORIZATION AND COOPERATION
Clients are responsible for providing accurate and timely information, materials, approvals, credentials, access, and decisions reasonably necessary for Incend Media to perform its services.
The client represents that anyone communicating instructions, approvals, changes, or authorizations to Incend Media on the client’s behalf has the authority to do so.
Incend Media may rely on instructions and approvals received from the client’s owners, officers, employees, representatives, or designated contacts unless the client provides written notice limiting that authority.
Delays in providing information, access, content, approvals, or feedback may affect project schedules, publishing dates, advertising performance, costs, and results. Incend Media is not responsible for delays or losses caused by the client’s failure to provide timely cooperation.
PURCHASES AND PAYMENTS
If you purchase products or services from Incend Media, you may be required to provide information necessary to complete the transaction, including payment information, billing details, and contact information.
You represent and warrant that:

You have the legal right to use the payment method provided.

All information submitted is accurate, current, and complete.

You are authorized to enter into agreements and approve charges on behalf of yourself or your organization.
Invoices are due according to the payment terms stated on the applicable invoice, proposal, agreement, or order. If no separate payment terms are stated, payment is due upon receipt.
Clients are responsible for maintaining accurate billing information and a valid payment method. A declined payment, expired or replaced payment card, chargeback, payment dispute, or failure to provide updated payment information does not extend an invoice’s due date or relieve the client of its payment obligations.
Payments may be processed through trusted third-party providers. By submitting payment information, you authorize Incend Media to provide the information necessary to process the transaction in accordance with our Privacy Policy.
Unless otherwise stated in writing, third-party expenses—including advertising expenditures, domain registrations, software licenses, premium plugins, platform fees, stock media, printing, postage, and similar expenses—are separate from Incend Media’s professional service fees.
Incend Media is not required to advance funds or pay third-party expenses on behalf of a client whose account is past due or in default.
NONPAYMENT AND ACCOUNT SUSPENSION
If any amount owed by a client to Incend Media under any invoice, agreement, subscription, project, or service remains unpaid after its due date, the client’s entire account may be considered in default.
After providing written notice of the delinquency, Incend Media may suspend, restrict, or discontinue any or all services provided to that client until the account is brought current. Unless a different period is established in writing, Incend Media may suspend services if payment has not been received within five calendar days after notice of the delinquency.
This right applies regardless of whether the unpaid invoice relates directly to the service being suspended. Incend Media is not required to limit a suspension to the particular project, subscription, invoice, or service associated with the unpaid amount.
Services subject to suspension may include, without limitation:

Content creation, scheduling, and publishing

Social media management and publishing

Consulting and other ongoing services
Incend Media may take immediate action without an additional cure period when reasonably necessary because of fraud, an unauthorized transaction, a chargeback, repeated payment defaults, unlawful activity, misuse of services, a security risk, or a requirement imposed by a third-party provider.
Before restoring services, Incend Media may require:

Payment of all outstanding balances

Payment of applicable third-party expenses
-
Payment of previously disclosed late, collection, or reactivation fees
-
Withdrawal or resolution of an improper chargeback or payment dispute

A valid and updated payment method
Restoration may require a reasonable amount of time after payment has cleared. Incend Media does not guarantee immediate restoration or that third-party accounts, placements, configurations, data, rankings, campaigns, or services will remain available following a suspension.
Suspension does not terminate an agreement, cancel an invoice, waive an outstanding balance, or relieve the client of payment obligations that continue under an applicable agreement, subscription, or service arrangement.
Clients acknowledge that suspension or nonpayment may result in:

Paused or discontinued advertising

Interrupted email or platform services
-
Missed publishing or campaign schedules
-
Loss of search engine rankings or visibility
-
Loss of artificial intelligence visibility or citations
-
Domain, software, certificate, or license expiration
-
Third-party account limitations or cancellations
-
Loss of access to systems, reports, files, or services
-
Other operational or business consequences
To the maximum extent permitted by law, Incend Media shall not be responsible for losses, damages, costs, or business consequences resulting from a suspension performed in accordance with these Terms or an applicable client agreement.
DOMAIN NAME REGISTRATION, RENEWAL, AND EXPIRATION
Domain name registration services offered or managed by Incend Media are currently provided through PDR Ltd. d/b/a PublicDomainRegistry.com, its related service providers, applicable domain registries, and the Internet Corporation for Assigned Names and Numbers (“ICANN”).
Incend Media acts as a reseller, administrative provider, or management facilitator for domain name services. Incend Media does not operate or control the applicable domain registry and cannot override registrar, registry, or ICANN requirements.
All domain name registrations are subject to the terms, policies, procedures, pricing, eligibility requirements, dispute processes, and expiration rules established by the applicable registrar, registry operator, and ICANN. By asking Incend Media to register, renew, transfer, or manage a domain name, the client agrees to comply with those applicable third-party requirements.
A domain name registration provides a limited right to use the domain name during the paid registration period. It does not create permanent ownership of the domain name or guarantee that the domain will remain available after expiration, cancellation, deletion, or release by the registrar or registry.
Client Responsibility
The client is responsible for:

Paying all domain registration, renewal, restoration, transfer, privacy, and related charges when due
-
Maintaining valid and current billing information
-
Maintaining accurate registrant and contact information
-
Providing an email address that remains accessible independently of the registered domain
-
Reviewing domain renewal and expiration notices
-
Notifying Incend Media promptly of changes to contact, ownership, or billing information
-
Confirming that requested registrations and renewals have been completed
Domain registration and renewal fees are generally paid in advance. Incend Media is not required to register or renew a domain name until payment has been received and cleared.
A declined payment, expired or replaced credit card, failure to update billing information, failure to receive or respond to a notice, or failure to pay another outstanding Incend Media invoice does not extend a domain’s registration period or obligate Incend Media to advance renewal funds.
Renewal Notices
Incend Media may provide domain renewal or expiration notices as a courtesy. However, the client remains ultimately responsible for knowing the expiration date and ensuring that all required payments and information are provided on time.
Incend Media does not guarantee that every renewal notice will be received. Failure to receive a renewal notice does not relieve the client of responsibility for renewing and paying for the domain.
Notices may be affected by outdated contact information, spam filtering, email delivery failures, changes in personnel, inaccessible email accounts, or other circumstances outside Incend Media’s control.
Past-Due Accounts
If the client’s account with Incend Media is past due or otherwise in default, Incend Media may suspend domain management and related services and is not required to register, renew, restore, transfer, maintain, or advance funds for any domain name associated with that account.
This applies even when the outstanding invoice relates to a different Incend Media service.
Incend Media may require payment of the client’s entire outstanding account balance before processing a domain registration, renewal, restoration, or transfer request.
Expiration and Loss of a Domain
If payment and required information are not received before the applicable deadline, a domain name may:

Expire

Stop directing visitors to the client’s website

Interrupt email and other connected services
-
Enter an expiration, grace, or redemption period
-
Incur additional renewal, redemption, restoration, or administrative fees
-
Be placed into auction
-
Be deleted or released to the public
-
Be registered or acquired by another person or organization
-
Become permanently unavailable to the client
Renewal, redemption, and restoration periods vary by registrar, registry, and domain extension. A grace or redemption period is not guaranteed.
Any additional charge imposed by the registrar, registry, ICANN, or another provider because of expiration, redemption, restoration, recovery, transfer, or late renewal is the client’s responsibility. Incend Media may also charge a reasonable administrative fee for work required to attempt recovery or restoration when that fee is disclosed to the client.
Payment of renewal, redemption, restoration, or recovery charges does not guarantee that the domain can be recovered.
No Obligation to Advance Funds
Incend Media is not required to use its own funds to register, renew, restore, recover, protect, or maintain a domain name for a client whose payment has not been received or whose Incend Media account is past due.
Incend Media’s previous decision to advance a payment, allow additional time, provide courtesy reminders, or continue managing a domain despite an outstanding balance does not create an obligation to do so again and does not waive Incend Media’s rights under these Terms.
Responsibility for Loss Caused by Client Nonpayment or Inaction
When a domain expires, is suspended, enters redemption, is auctioned, is deleted, or is acquired by another party because the client failed to pay an amount when due, maintain accurate information, respond to notices, provide authorization, or otherwise fulfill the responsibilities stated in these Terms, the resulting consequences are the client’s responsibility.
To the maximum extent permitted by law, Incend Media shall not be responsible for domain loss, website downtime, interrupted email, loss of traffic, loss of revenue, search ranking changes, reputational harm, recovery expenses, or other damages resulting from the client’s nonpayment, delayed payment, inaccurate information, or failure to act.
Nothing in this section excuses Incend Media from responsibility for its own intentional misconduct or a failure to perform an obligation after timely receiving all required payment, information, and authorization from the client.
Transfers and Registrant Information
Incend Media may require that a client’s account be paid in full before providing transfer assistance, administrative support, authorization codes, or other non-emergency domain services, subject to applicable registrar, registry, ICANN, and legal requirements.
The client remains responsible for verifying the accuracy of the domain’s registrant information and identifying the individual or entity legally entitled to control the registration.
Incend Media may decline to process ownership changes or transfer requests when there is an unresolved ownership dispute, suspected fraud, insufficient authorization, a legal restriction, or a restriction imposed by the registrar or registry.
DIGITAL ADVERTISING EXPENDITURES
Advertising budgets and platform charges are generally paid directly by the client or charged through a payment method authorized by the client.
Incend Media may pause or discontinue advertising campaigns if:

The client’s payment method fails

Advertising funds are unavailable

Incend Media’s management fees are past due
-
The advertising platform restricts or suspends the account
-
Continued operation may create financial, legal, security, or reputational risk
Incend Media is not obligated to fund advertising expenditures on behalf of a client.
MARKETING, ADVERTISING, SEO, AI, AND GROWTH SERVICES DISCLAIMER
Incend Media provides strategic marketing, consulting, advertising, SEO, GEO, AEO, website, analytics, content, and growth-related services.
Business outcomes are influenced by factors outside Incend Media’s control, including:

A third-party platform may reject, restrict, suspend, remove, reclassify, or modify content, advertising, accounts, listings, integrations, or access without consulting Incend Media.
Incend Media is not responsible for actions, omissions, policy changes, algorithm changes, account decisions, or service interruptions caused by third-party systems.
THIRD-PARTY SOFTWARE AND SERVICES
Our services may use third-party technologies, software platforms, plugins, APIs, hosting providers, domain registrars, payment processors, artificial intelligence systems, analytics tools, advertising platforms, and cloud infrastructure providers.
Incend Media is not responsible for outages, policy changes, pricing changes, feature changes, licensing changes, service interruptions, security incidents, data loss, account restrictions, or performance issues caused by third-party providers.
When a client requests or approves the use of a third-party product or service, the client may also be subject to that provider’s terms, policies, fees, and limitations.
CLIENT REVIEW AND APPROVAL
Clients are responsible for reviewing and approving websites, content, advertisements, designs, campaigns, reports, and other deliverables.
Incend Media may rely on a client’s approval as confirmation that the client has reviewed the applicable material for factual accuracy, legal compliance, pricing accuracy, claims, trademarks, professional requirements, and other business-specific considerations.
Incend Media does not provide legal, accounting, medical, regulatory, or professional-compliance advice. Clients should obtain appropriate professional review when their industry, content, advertising, or operations require it.
AVAILABILITY, ERRORS, AND ACCURACY
Incend Media continually updates its information, services, pricing, technology, and offerings. Information available on this website or through our services may occasionally contain typographical errors, inaccuracies, omissions, outdated information, or technical issues.
Incend Media reserves the right to correct errors, update information, modify services, and change pricing without prior notice, subject to any specific written agreement with a client.
We do not guarantee that our website, systems, hosting, integrations, or services will be uninterrupted, error-free, completely secure, or available at all times.
INTELLECTUAL PROPERTY

A client’s failure to pay all amounts due may delay or prevent the transfer, release, licensing, or continued use of deliverables to the extent permitted by the applicable agreement and law.
CLIENT CONTENT RESPONSIBILITY
Clients remain solely responsible for the legality, ownership, licensing, accuracy, and regulatory compliance of any content or materials they provide to Incend Media.
This includes:

Clients are responsible for maintaining copies of business-critical information unless a written agreement specifically assigns that responsibility to Incend Media.
Following suspension or termination, Incend Media may limit access to systems, services, reports, files, or accounts until outstanding obligations are resolved. Data retention and deletion may also be subject to storage limitations, security requirements, applicable agreements, and third-party provider policies.

The handling, retention, transfer, or deletion of websites, content, files, credentials, data, or other materials following termination will be governed by the applicable client agreement, these Terms, Incend Media’s other policies, and any third-party platform requirements.
LIMITATION OF LIABILITY
To the maximum extent permitted by law, Incend Media LLC and its owners, officers, employees, contractors, consultants, affiliates, partners, licensors, and agents shall not be liable for indirect, incidental, consequential, punitive, special, or exemplary damages arising from or related to the use of this website or our services.

You consent to the personal jurisdiction and venue of those courts.
NOTICES
Incend Media may provide notices through email, its billing or support systems, an account portal, an invoice, or another reasonable electronic method.
Notices will be sent using the contact information associated with the client’s account. Clients are responsible for keeping their contact and billing information current.
A notice sent to the client’s last-provided email address or account contact will be considered delivered when sent, unless Incend Media receives notice that delivery failed.
SEVERABILITY
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision shall be enforced to the greatest extent permitted by law, and the remaining provisions shall remain in full force and effect.
NO WAIVER
Incend Media’s decision not to enforce a provision of these Terms on one occasion does not waive its right to enforce that provision or any other provision in the future.
A delay in invoicing, collecting payment, suspending services, or exercising any right does not waive Incend Media’s right to take action later.
ASSIGNMENT
Clients may not assign or transfer their rights or obligations under these Terms without Incend Media’s prior written consent.
Incend Media may assign its rights and obligations as part of a merger, acquisition, corporate reorganization, sale of assets, or transfer to an affiliate or successor.
CHANGES TO THESE TERMS
Incend Media reserves the right to modify these Terms periodically.
Updated versions will be posted on this website with a revised effective date. When changes materially affect current services or client obligations, Incend Media may also provide notice through email, its billing or support systems, an account portal, or another reasonable method.
A client’s continued request, receipt, access, payment for, or use of services after receiving notice of updated Terms constitutes acceptance of the revised Terms to the extent permitted by law.
Changes will not override a conflicting provision in a separately signed agreement unless the agreement permits the change or the parties otherwise agree in writing.
